FLOURISH MEDIA INC CORPORATION. ("FLOURISH MEDIA INC") would be pleased to receive your ideas, program suggestions and literary materials. We invite you to first carefully review the following policy and agreement, as it will apply to any ideas, suggestions and other materials you submit. FLOURISH MEDIA INC will review and consider your submissions only if you accept this policy and agreement. It is intended to clarify the rights and obligations of FLOURISH MEDIA INC with respect to your submissions and to avoid any misunderstandings.

POLICY: FLOURISH MEDIA INC may review and discuss your submissions with its employees, and possibly others, to evaluate its usefulness to FLOURISH MEDIA INC. You recognize that other persons, including our own employees, may have submitted to us or to others or made public, similar or identical material which FLOURISH MEDIA INC may independently have the right to use. Accordingly, you understand that any such review process does not create a confidential relationship between you and FLOURISH MEDIA INC nor does it imply that you will be entitled to any compensation if FLOURISH MEDIA INC uses similar or identical material. However, should FLOURISH MEDIA INC choose to use any portion of your submissions that is legally protectable, FLOURISH MEDIA INC will pay you such compensation as we may subsequently negotiate and agree upon in writing.

AGREEMENT: You agree that you have requested FLOURISH MEDIA INC to review and consider your submissions in accordance with and in reliance on the provisions of this policy and agreement. You warrant that you are the sole creator and owner of all material submitted by you to FLOURISH MEDIA INC and that no one else to your knowledge has any right to it. You agree that FLOURISH MEDIA INC may retain and is not obligated to return to you or destroy any materials submitted and you confirm that you have kept a copy of all materials submitted. Any controversy arising as to whether FLOURISH MEDIA INC used your material, or relating to this agreement, will be conclusively determined by arbitration under the Commerical Arbitration Act of British Columbia and you agree that the single arbitrator will be a person experienced in the broadcasting / production field mutually selected by us. The above terms and conditions may not be waived or changed except in writing and signed by an officer of FLOURISH MEDIA INC.
